1. PROMOTION DATES
a. The K-ROCK GIRL CASTING CALL (“Promotion”) will begin on April 28, 2008 at 12:00 am ET and end on June 6, 2008 at 11:59 pm ET (“Promotion Dates”). The Promotion administrator’s computer is the official time keeping device for the Promotion.
2. ELIGIBILITY RESTRICTIONS
a. The Promotion is open to all females who are 21 years of age or older at the time of entry and are legal US residents or legally able to work in the US. Employees of WXRK (the “Station”), its licensee, its corporate parents, subsidiaries, and affiliates, its advertising agencies, participating sponsors/promotional partners, and the members of their immediate families (spouse, parents, sibling or children) or households are ineligible to participate. Subject to all applicable federal, state, and local laws and regulations. Void outside the United States and where prohibited.
c. Entrants that have any type of talent and/or management representation (e.g., a talent agent or manager), or who are under any type of professional performance contract (including but not limited to, a music recording contract, a talent contract, an acting contract) and/or are party to a merchandising contract WILL NOT BE ELIGIBLE to participate in the Promotion. Entrants cannot be a candidate for any public office at the time of their audition and the entrants cannot become a candidate for public office until after the broadcast of the Gala.
d. Entrants are required to provide truthful information and the Station will reject and delete any entry that it discovers to be false or fraudulent. The Station will disqualify any entry from individuals who do not meet the eligibility requirements, and the Station will also delete any entry knowingly received from persons under the age of 13 in compliance with the Children’s Online Privacy Protection Act.
3. ENTRY
a. For consideration to participate in the Promotion, you may enter via the following method(s):
ONSITE: Listeners will be invited through on-air announcements to meet the 92.3 K-ROCK Street Team at one of the K-ROCK Girl Search Bar Parties at times and locations to be announced on-air. K-ROCK Girl Search Bar Parties will be held on May 17, 2008 in Long Island and on May 24, 2008 in New Jersey or join the K-ROCK Street Team at select events listed on www.923krock.com. Listeners will be invited to bring a photograph of themselves (“Photograph”), or have their photograph taken on-site by a K-ROCK staff member. In addition, Listeners must bring their completed K-ROCK Girl Questionnaire (“Questionnaire”), which shall include questions regarding the entrant’s interests, music knowledge, etc. At each location, the 92.3 K-ROCK Street Team members will collect entry information from entrants. Entrants must provide the 92.3 K-ROCK Street Team members with valid, government-issued photo identification for verification purposes (“Photo ID”), completed entry forms (including each entrant’s first name, last name, complete address, city, state, ZIP code, home telephone number, and date of birth), their Photograph, and completed Questionnaire, and a completed photo submission release form. A member of the K-ROCK Street Team will check and confirm entrants Photo ID with submission.
WEBSITE: As an alternative, listeners will also be invited through on-air announcements to visit 92.3 K-ROCK online at www.923krock.com during the Promotion Dates to complete and submit their online entry information. Following the links and instructions, entrants must enter and submit their first name, last name, complete address, city, state, ZIP code, home telephone number, date of birth and a valid email address in the online entry form. Entrants will also be required to submit their Photograph and Questionnaire online. Entrants will also be required to print out, complete, and sign the photo submission release form and return it to the station along with a copy of their Photo ID through any one of these methods:
i. Fax your completed, signed photo submission release form and a copy of your Photo ID to 212-314-9338;
ii. Mail your completed, signed photo submission release form and a copy of your Photo ID to “WXRK – K-ROCK Girls, 40 West 57th Street, 14th Floor, New York, NY 10019, Attn: Promotions Dept.”; or
iii. E-mail your completed, signed photo submission release form and a copy of your Photo ID as a scanned PDF or JPEG document to wxrktalent@krockradio.com. E -mail subject line MUST read: “K-ROCK GIRLS RELEASE FORM”, and the e-mail body must include the entrant’s full name and phone number. The e-mail MUST include as an attachment your scanned copy of the photo submission release form and a copy of your Photo ID attached.
b. DEADLINE FOR K-ROCK’S RECEIPT OF THE PHOTO SUBMISSION RELEASE FORMS AND PHOTO ID IS JUNE 6, 2008 AT 11:59 PM ET. Only one entry per person (and per email address) regardless of the method of entry.
c. Photographs must be the entrants’ original, creative work, and may not have been published previously or have won any other award. Further Photographs must not be protected by copyright; each entrant must have the right to submit it. The Photographs may not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights including but not limited to copyrights or trademarks. Each Photograph must only be of the entrant and photos with other people in addition to the entrant are not eligible. Each Photograph must not contain copyrighted materials or any other materials that may be restricted, prohibited or outlawed by federal, state or local laws. Station, in its sole discretion, reserves the right to disqualify any entry if such entry contains illegal, indecent or otherwise offensive material, or if such entry contains material whose content is deemed at the sole discretion of the Station to be unsuitable for public display, broadcast, or posting on the Station’s website (i.e., entries must be radio clean). Entries that do not comply with these rules will not be eligible for the competition.
d. Station will judge each entry based upon each entrant’s star quality and photogenic ability as demonstrated in the Photograph as well as the creativity and originality of their Questionnaire responses. Station’s decisions with respect to this Promotion and the judging shall be final and binding. Station will select the top twenty-three (23) entrants (“Finalists”) from all eligible entries from K-ROCK GIRL SEARCH Parties and website on or around June 9, 2007. The twenty-three (23) Finalists will be notified the week of June 9, 2008, and each will be required to complete, sign and submit to Station a photo submission release form.
e. The twenty fourth (24th) finalists will be voted on by the listeners. 92.3 K-ROCK will post the five (5) runners –up on www.923krock.com and direct listeners via on-air to go to the site to vote. Voting will begin Tuesday, June 17th at 5:00 pm ET and end on Monday, July 7, 2008 at 11:59 am ET. The girl with the most votes will be selected as the 24th finalist in the K-ROCK GIRLS GALA COMPETITION. If there is a tie, Station will pick a winner at their sole discretion.
f. Subject to satisfactory completion of a thorough background check, the twenty-four (24) Finalists must appear at the K-ROCK GIRL GALA on July 30, 2008 (date subject to change) at a time and location to be announced on-air for an opportunity to compete for the opportunity to be crowned one of the twelve (12) “K-ROCK GIRLS” (the “Gala”). If a Finalist cannot appear at the K-ROCK GIRL GALA she will be not longer be eligible to participate and the Station will select another K-ROCK GIRL from all remaining Finalists. Finalists will be required to sign a release to participate in the Gala and be eligible to be selected as a K-ROCK Rock Girl. The release will also require Finalists to enter into the Agreement (as defined below). Throughout the Gala, the Finalists will appear in a catwalk competition, where they will be required to introduce themselves and be interviewed publicly. Furthermore, each Finalist must participate in a swimsuit, evening wear, and talent competition. Three Station-selected judges will make the final decision on which Finalists will be the winner of the competition (“Competition Winners”). The judges’ decisions shall be final and binding.
4. PRIZES
a. Up to twelve (12) Competition Winners: Each Competition Winner will be named a “K-ROCK GIRL” and will be awarded an independent contractor agreement (“Agreement”) where they will each be required to attend a specified number of K-ROCK events between July 2008 and July 2009, to represent and promote the Station. Competition Winners will be invited to at least four (4) events per month and shall receive $200.00 per event attended in accordance to their Agreement. Two (2) K-ROCK GIRLS will be assigned per event. There shall be no guarantees of employment and no benefits provided to the Competition Winners. AT NO TIME WILL A K-ROCK GIRL BE AN EMPLOYEE OF THE STATION OR CBS RADIO INC. The Station shall have the absolute right, without incurring any liability to the Competition Winner, to terminate the Agreement if the Competition Winner does not cooperate with the Station in making the requested appearances or otherwise violates the terms of the Agreement.
b. Station reserves the right to terminate the services of any of the twelve (12) Competition Winners who become K-Rock Girls based on any of the following reasons:
i. Failure to attend two (2) events that they have contracted to attend including meetings and production assignments;
ii. Failure to arrive on time to two (2) events;
iii. Canceling two (2) appearances within 24 hours of the event;
iv. Obtaining employment from any New York Radio Station other than Station;
v. Causing damage to Station property;
vi. Failure to maintain communication with Station;
vii. Behavior at a Station event or while wearing a WXRK Rock Girls uniform that is not in the best interest of Station or its reputation in the community in Station’s sole and absolute discretion; or
viii. Any other reason the Station considers just cause for terminating the Agreement.
In the event of such termination, the affected Competition Winner will forfeit the title of Rock Girl, together with all associated future earnings, prizes, and photo opportunities. Station will treat the first attendance violation with a verbal and written warning and the second violation will result in termination of the Agreement. When a Competition Winner is terminated or chooses to relinquish the title, a replacement Rock Girl will not be chosen.
e. Pursuant to each Agreement, each Competition Winner must be available to participate in Station activities as required by the Station’s programming and promotions staff, and each Competition Winner must be willing to travel around the Metro New York City area and to other destinations and to participate in Station activities during non-traditional hours including nights and weekends as necessary. Each Competition Winner shall dress in appropriate apparel for any Station events to be approved by Station prior to each event. No prize substitution or cash redemption will be awarded.
g. Each Competition Winner will be required to sign a Release releasing Station, its parent, affiliated companies, successors and assigns and each of their officers, directors, employees, agents and Promotion sponsors from any and all liability with respect to her participation in the Promotion and the receipt and/or use of the prize. Any person who refuses to sign the Release and/or provide a Social Security Number for tax reporting purposes will not be permitted to enter into the Agreement.
h. No transfer or assignment of qualifying opportunities is allowed. Winner is responsible for paying all applicable local, county, state and federal taxes on pursuant to the Agreement.
i. By participating in this Promotion, each entrant hereby consents to the Station’s use of her name; voice; likeness; and biographical information for on-air broadcast and for advertising and promotional purposes without payment of additional consideration. Station shall have the right to copy, edit, broadcast, publish and use, in whole or in part, any materials featuring entrants, in any manner without compensation.
5. WINNER SELECTION AND NOTIFICATION
a. Decisions of Station management with respect to the Promotion are final.
b. The twelve (12) K-ROCK GIRLS will be selected and announced at the Gala on July 30, 2008 (dates subject to change).
c. Finalists must be present at the Gala to be selected as a Competition Winner.
6. CONDITIONS
a. Payments of all federal, state and local taxes are solely the responsibility of the Competition Winners. Competition Winners will be required to complete and submit an IRS Form W-9 with the winner’s full Social Security Number or the equivalent for receipt of any prize valued at $600 or more or for any prizes awarded by the Station in a calendar year with an aggregate value of $600 or more. Failure to submit a complete W-9 or equivalent will result in the Competition Winner not being permitted to enter into the Agreement.
b. By participating in the Promotion, the winners agree to have their name, city, state, voice, or likeness used in any advertising or broadcasting material relating to this Promotion without additional financial or other compensation, and, where legal, to sign a publicity release confirming such consent prior to acceptance of the prize.
c. Prior to selecting an entrant as a finalist, the Station in its sole discretion may require verification of entrant’s identification by a showing of valid government-issued photo identification. The Station may also require finalists, to sign a liability release, agreeing to hold the Station, its corporate licensee, its sponsor(s) and promotional partner(s), their parent, subsidiary and affiliated corporations, and the officers, shareholders, directors, employees, agents and representatives of each of them (collectively, the “Released Parties”) harmless against any and all claims or liability arising directly or indirectly from the prize or participation in the Promotion.
d. The Station, in its sole discretion, reserves the right to disqualify any person (and all of their entries) from this Promotion if she tampers with the entry process or the operation of the Station’s website or is otherwise in violation of the rules. The Station further reserves the right, at its sole discretion, to modify, cancel, terminate or suspend the Promotion, or any part of it, if it is not capable of completion as planned or if any fraud, technical failures or any factor beyond the Station’s control, including infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion as determined by the Station in is sole discretion. Any attempt by an entrant or any person to deliberately damage any Station website or to undermine the legitimate operation of this Promotion may be a violation of criminal and civil laws. Should such an attempt be made, the Station reserves the right to seek full prosecution and/or damages from any such individual to the fullest extent permitted by law. The Station’s failure to enforce any term of these Official Rules shall not constitute a waiver of this provision. If due to circumstances beyond the control of the Station, any competition or prize-related event or travel is delayed, rescheduled, postponed or cancelled, the Station reserves the right, but not the obligation, to modify, suspend or cancel the Promotion and shall not be required to award a substitute prize.
e. The Released Parties are not responsible for (i) typographical or other errors in the printing, the offering or the administration of the Promotion, or in the announcement of a prize; (ii) entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties, malfunctions, disconnections, or other technological failures, telephone service outages, delays, dropped calls, or busy signals; (iii) lost, stolen, mangled, misdelivered, postage due, illegible, incomplete, incorrect, or late entries.
f. Copies of the Official Rules or for a list of finalists following completion of the Promotion (specify which), send a self-addressed, stamped envelope (VT residents may omit return postage) specifying “Official Rules” or “Finalists List” to 92.3 K-ROCK GIRL CASTING CALL Winner List or Official Rules Request, WXRK, 40 West 57th Street, 14th Floor, New York, NY 10019. A copy of the Official Rules and a list of winners (when complete) are also available during regular business hours at the main studio of WXRK, 40 West 57th Street, 14th Floor, New York, NY 10019. All such requests must be received within 30 days following completion of the Promotion.
